Setting the Pace for Digital Engineering M&A

For the past two years, some feared AI would threaten the need for outsourced product engineering services. Instead, we’re seeing an interesting shift. The firms creating the most value are using AI to rethink how software is built and delivered. As a result, the digital engineering market is evolving, and M&A interest in the space is returning.

Clearsight has been at the forefront of this shift. Over the past 12 months, we have advised on three digital engineering transactions – Unosquare, Everforth, and NewVision – giving us a front-row seat to how strategic and private equity buyers are evaluating the next generation of engineering businesses.

The characteristics of leading firms are changing alongside their delivery models. Traditional metrics such as headcount, utilization, and bill rates are becoming less important than indicators of AI-enabled performance, including the mix of fixed-price engagements, revenue per engineer, and the ability to combine AI agents with human expertise to deliver better outcomes. Firms that rethink how work gets done and outcomes are measured, rather than simply adopting new tools, will be best positioned to differentiate themselves.

AI is also increasing the value of experienced implementation partners. As the technology becomes more accessible, competitive advantage is shifting from simply having access to AI, to the ability to deploy it successfully within complex enterprise environments. Customer context, industry expertise, and strong engineering talent remain essential to designing, implementing, and scaling AI-driven transformation.

We’re already seeing that shift influence buyer behavior in the M&A markets. Strategic acquirers and private equity investors are actively looking for digital engineering firms that have modernized their capabilities, embraced AI-enabled delivery, and built scalable operating models for the next generation of enterprise technology. As such, a positive trend is taking shape for the future of digital engineering. AI may not replace the industry after all – but rather raise the bar for what best-in-class firms can deliver.
