Clearsight Advises Civix on the Divestiture of its Critical Infrastructure Division to Modaxo
Clearsight Advisors, Inc. (“Clearsight”) is pleased to announce another transaction in its leading Public Sector Technology practice. Clearsight served as the exclusive advisor to Civix, Inc. (“Civix”), a portfolio company of Hammond, Kennedy, Whitney and Co., Inc. (“HKW”), on the divestiture of its Critical Infrastructure Division (“Civix CI” or the “Company”) to Modaxo, Inc. (“Modaxo”), the People Transport focused division of Constellation Software, Inc. (“Constellation”; TSX: CSU).
Civix CI provides mission-critical software solutions to improve the safety and efficiency of transportation, energy, and federal government clients. The Company’s comprehensive suite of software products minimizes risk, ensures compliance, increases operational productivity, and drives profitability through enhanced workflows and data analytics. This transaction will allow Modaxo to capitalize on Civix CI’s customer positioning, market-leading transportation and power generation software, and deep client relationships across its end markets. As part of Modaxo, Civix CI’s commercial and general airport solutions will be serviced under the Tadera brand. Civix CI also brings energy sector solutions to the table, which are now marketed separately under Constellation’s GCR brand.
“Clearsight’s guidance and strategic insights were invaluable throughout this process,” said Tim Walsh, President of Civix CI. “The Clearsight team’s understanding of the complex dynamics of our industry, paired with their extensive relationships across tech-enabled services, made them an ideal advisor. Modaxo and Constellation are a formidable combination that Civix CI strengthens, creating a brighter future for the combined entity.”
Mike Foisy, President and Partner at HKW, noted, “We’ve built a great relationship with the Clearsight team over the years, and trusted them to help us execute this pivotal transaction. Clearsight’s dedication solidified our belief that we chose the right advisor and created a great outcome for Civix CI.”
Clearsight Managing Director Joel Kallett added, “Our team is proud to have supported Civix and HKW in this divestiture process. The Civix core business is now more strategically focused. The Civix CI team, together with Modaxo and Constellation, is more optimally positioned to continue to deliver market-leading software tools for their key clients.”
The Clearsight deal team included Joel Kallett, Austin Kuhn, Phil Loria, Matt Levinson, and Jacob Beckner.
